1 Interpretation and Definitions

  • "Services" refers to all products, features, applications, tools, APIs, consultation services, and any other deliverables offered by the Company, including but not limited to AI-powered automation, virtual agents, administrative integrations, and data-driven analytics tools.

2 Acceptance of Terms

By accessing the Website or utilising the Services, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement. If you do not agree to any provision herein, you must immediately cease all use of the Services.

This Agreement shall be deemed to have been entered into at the Company's registered address and shall govern your access to and use of the Services, regardless of the location from which you access them.

3 Provision of Services

3.1 The Company provides business automation solutions and virtual AI agents tailored for operational efficiency.

3.2 The Company reserves the right to modify, suspend, or discontinue any part of the Services at any time without notice or liability.

3.3 All Services are provided on an "as is" and "as available" basis, without warranties of any kind except where required by law.

4 Client Responsibilities

4.1 You shall ensure that your use of the Services complies with all applicable laws, regulations, and professional standards.

4.2 You shall not:

  • • Use the Services in any manner that infringes the rights of third parties;
  • • Attempt to access source code, reverse engineer, or disrupt the integrity or performance of the Services;
  • • Introduce any viruses, worms, or malicious code.

4.3 You are responsible for maintaining the confidentiality of access credentials and any actions taken under your account.

5 Intellectual Property

5.1 All content, source code, designs, trade names, trademarks, service marks, and data made available through the Services are the exclusive property of Boland Intelligence Group or its licensors.

5.2 Nothing in this Agreement shall be construed as granting you any rights or licenses in or to the intellectual property of the Company other than those expressly set out herein.

5.3 Any feedback, suggestions, or ideas submitted to the Company shall be considered non-confidential and become the sole property of the Company without compensation or attribution.

6 Warranties and Disclaimers

6.1 The Company makes no representations or warranties regarding:

  • • The accuracy, completeness, or suitability of the Services for any particular purpose;
  • • The uninterrupted, error-free, or secure availability of the Services;
  • • The legal or regulatory compliance of automation or AI outcomes generated through the Services.

6.2 All implied warranties, including but not limited to merchantability, non-infringement, and fitness for a particular purpose, are expressly disclaimed to the fullest extent permitted by law.

7 Limitation of Liability

7.1 To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to:

  • • Loss of revenue, profits, anticipated savings, or business opportunities;
  • • Loss or corruption of data;
  • • Reputational damage.

7.2 The Company's total aggregate liability arising out of or related to the Services, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount paid by you to the Company in the six (6) months preceding the event giving rise to the liability.

8 Indemnification

You agree to defend, indemnify, and hold harmless Boland Intelligence Group, its directors, officers, employees, affiliates, and agents from and against any and all claims, demands, proceedings, losses, liabilities, damages, expenses, and costs (including legal fees) arising out of or relating to:

  • • Your misuse of the Services;
  • • Your breach of this Agreement;
  • • Your violation of any applicable laws or regulations;
  • • Any content or data submitted by you through the Services.

9 Confidentiality and Data Protection

9.1 Both parties agree to maintain the confidentiality of all information disclosed that is marked or otherwise identified as confidential.

9.2 The Company shall process all personal data in accordance with applicable data protection laws, including the UK GDPR and Data Protection Act 2018. Please refer to our Privacy Policy for more details.

10 Termination

10.1 The Company may, at its sole discretion and without notice, suspend or terminate your access to the Services if you:

  • • Breach this Agreement;
  • • Misuse the Services in a way that could harm the Company or other users;
  • • Become insolvent or bankrupt.

10.2 Upon termination, all rights granted to you shall cease, and you must immediately stop using the Services.

11 Force Majeure

The Company shall not be held liable for any failure or delay in performance of its obligations caused by events beyond its reasonable control, including but not limited to acts of God, government actions, war, riots, civil commotion, pandemics, labour disputes, or failure of internet services.

12 Governing Law and Jurisdiction

12.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

12.2 Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13 Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, or agreements, whether written or oral, relating to its subject matter.

15 Use of Third-Party AI Models and Integrations

15.1 Third-Party Dependencies

Boland Intelligence Group may utilise third-party services, including but not limited to large language models (LLMs) and generative AI technologies developed and maintained by third-party providers (e.g., OpenAI, Anthropic, Google, Microsoft, etc.), to deliver or enhance its Services.

15.2 No Warranty on Third-Party Outputs

We make no representations, warranties, or guarantees regarding the reliability, accuracy, completeness, safety, legality, or ethical soundness of any output generated by such third-party AI systems. You understand and accept that:

  • • AI outputs may be probabilistic, imprecise, and subject to error;
  • • Responses may include hallucinated, outdated, or biased information;
  • • No AI-generated content should be construed as legal, financial, or medical advice.

15.3 Limitation of Liability for Third-Party Services

To the maximum extent permitted by applicable law, Boland Intelligence Group shall not be liable for:

  • • Any direct or indirect damages resulting from reliance on content or decisions made using third-party AI output;
  • • Disruptions, data breaches, downtime, or service degradation caused by third-party providers;
  • • Any action or inaction taken by clients based on suggestions, outputs, or interpretations of third-party AI systems.

15.4 Client Responsibility

You acknowledge that you are solely responsible for verifying and validating the accuracy and appropriateness of any AI-generated output prior to using or acting on such information in any context (business, legal, regulatory, etc.).

15.5 Changes in Third-Party Services

Boland Intelligence Group reserves the right to change its AI providers, remove features, or modify integrations without notice and without liability for any consequential disruptions to your workflow or services.

15.6 Specific Providers and Dependencies

Boland Intelligence Group may integrate with or route data through third-party AI providers, including but not limited to:

  • OpenAI, L.L.C. (via OpenAI API and ChatGPT platform)
  • Microsoft Corporation (via Azure OpenAI Services or Azure Cognitive Services)
  • Anthropic, PBC (via Claude API or managed environments)

These providers are solely responsible for the operation, security, data processing, and reliability of their respective platforms. The Company does not warrant, endorse, or assume responsibility for any service-level guarantees, ethical frameworks, or data security practices enforced by these third parties.

15.7 GDPR and Third-Party AI Usage

Where the Services involve processing of personal data under the UK General Data Protection Regulation (UK GDPR), you acknowledge and agree that:

  • • Boland Intelligence Group acts as a data processor or sub-processor depending on the context of processing;
  • • Third-party AI providers (e.g., OpenAI, Microsoft Azure) may act as sub-processors under our agreements, and data routed to them is subject to their respective data processing terms;
  • • No identifiable personal data should be entered into AI systems unless explicitly required and done with proper data minimisation, legal basis, and informed consent;
  • • You, as the client and data controller (where applicable), are responsible for ensuring compliance with applicable data privacy laws when providing input to or receiving output from any LLM-powered system.

15.8 Model Training and Retention Policies

By default, Boland Intelligence Group configures AI systems using third-party providers in a manner that disables training on user input, unless otherwise disclosed. Clients are responsible for reviewing the data retention and training policies of third-party providers as outlined in their public documentation.
